Acceptance of Terms

These Terms of Service (“Terms”) are a binding agreement between you and Reality Inc. (“Reality,” “we,” “us”), the maker of Halo, a voice-to-text application for Windows (the “App”), and the superhalo.io website (together, the “Service”). By downloading, installing, purchasing, or using Halo you agree to these Terms. If you do not agree, do not use the Service. You must be at least 13 years old, or the minimum age required in your jurisdiction, to use the Service.

Description of the Service

Halo converts spoken audio into text on your own device and types the result into whatever application has focus. Speech processing runs entirely locally: the App has no cloud transcription component, requires no account, and works without an internet connection. Halo currently supports the English language and runs on Windows (native ARM64, with an x64 build for Intel and AMD). Platform support, features, and system requirements may evolve over time.

License

Subject to these Terms, we grant you a personal, non-exclusive, non-transferable, revocable license to install and activate Halo on up to two (2) devices that you own or control, for your own use.

A purchase entitles one person to use the App. After payment, your activation code is sent to the email address you provide at checkout. The code is personal to you: keep it confidential, and do not share, resell, or publish it. To move Halo to a new device, deactivate it on an old one (or contact us and we will help). We may deactivate codes that are leaked, resold, or used in breach of these Terms.

Privacy and Your Content

Our Privacy Policy explains what little information we handle. In short: your audio and transcripts are processed only on your device, are never uploaded to us or anyone else, and are never used to train models — we never receive them. Because your content never reaches us, no data processing agreement is required for the App’s core function. We will give advance notice before changing any of these commitments.

Purchase and Payment

Halo is sold as a single one-time purchase. There is no subscription, no billing cycle, and no auto-renewal — nothing about your purchase renews or expires on a timer.

Payments are handled by our merchant of record, Paddle, which is the seller of record for your transaction and provides checkout, tax handling, and payment processing. Your purchase is also subject to Paddle’s terms, presented at checkout. Prices shown may be exclusive or inclusive of applicable taxes depending on your country, as displayed at checkout. Refunds are governed by our Refund Policy.

Updates and Availability

Your purchase includes the App and the updates we make generally available to purchased versions. We work to keep Halo compatible with current versions of Windows, but a one-time purchase is not a promise of indefinite future development, of specific future features, or of compatibility with operating systems released after your purchase. If we ever offer a paid major upgrade, your existing version will keep working and your license to it will not be revoked because a newer version exists.

Acceptable Use

You agree not to:

  • use the Service in violation of any law, including laws governing the recording of other people — you are responsible for obtaining any consent required before capturing audio of others;
  • share, resell, sublicense, or publish activation keys, or otherwise circumvent or attempt to circumvent licensing limits;
  • reverse-engineer, decompile, or disassemble the App except to the extent applicable law expressly permits it despite this restriction;
  • redistribute the App or make it available to third parties except as these Terms allow;
  • interfere with or disrupt the Service, the website, or the systems used to deliver them.

Intellectual Property

The App, the website, and all associated intellectual property belong to Reality Inc. or its licensors. These Terms grant you a license to use the App, not ownership of it. Your content is yours: you retain all rights to the audio you speak and the transcripts Halo produces, and because that content never reaches us, we claim no license to it whatsoever. Use of the Halo name or logo requires our prior written permission.

Third-Party Services

Checkout and payment are provided by Paddle as merchant of record. The App runs on Microsoft Windows and uses operating-system components (such as audio input and accessibility interfaces) governed by Microsoft’s own terms. The Service does not depend on any third-party cloud service to perform transcription.

Disclaimers

The Service is provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Transcription is imperfect by nature: accuracy is not guaranteed, and you should review output before relying on it — especially in medical, legal, financial, or other high-stakes contexts. Some jurisdictions do not allow certain warranty exclusions, so parts of this section may not apply to you.

Limitation of Liability

To the maximum extent permitted by law, Reality Inc. will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill, arising from or related to the Service. Our total liability for all claims relating to the Service is limited to the amount you paid us for Halo in the 12 months before the claim arose. Nothing in these Terms limits liability that cannot be limited under applicable law, including for fraud or for death or personal injury caused by negligence, or affects statutory consumer rights that cannot be waived.

Termination

You may stop using the Service at any time; uninstalling the App removes it and its locally stored data from your device. We may suspend or terminate your license if you materially breach these Terms — for example, by reselling activation keys or circumventing licensing — and in that case no refund is owed except where required by law. Sections that by their nature should survive termination (including intellectual property, disclaimers, and limitation of liability) survive it.

Governing Law

These Terms are governed by the laws of [TO BE COMPLETED — governing law and jurisdiction], and disputes will be resolved in the courts of that jurisdiction — except that if you are a consumer, you keep any protection given to you by the mandatory consumer laws of the country where you live.

Severability and Waiver

If any provision of these Terms is found unenforceable, it will be modified to the minimum extent necessary and the rest of the Terms will remain in effect. Our not enforcing a provision is not a waiver of our right to enforce it later.

Entire Agreement

These Terms, together with the Privacy Policy and Refund Policy, are the entire agreement between you and Reality Inc. regarding the Service and supersede any prior understandings.

Changes to These Terms

We may update these Terms from time to time. Material changes will be announced on this page or through the App with reasonable advance notice; the “last updated” date above reflects the current version. Continuing to use the Service after changes take effect means you accept them.
